1. Agreement to Terms

By accessing or using Keystone North services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part, you may not use our Services.

These Terms apply to all users, including visitors, leads, pilot participants, and paying clients.

2. Description of Services

Keystone North provides B2B outbound services for insurance agencies. Our Services include:

  • Research: Building verified contact lists (licenses, carrier appointments, renewal dates)
  • Outbound dialing: 3,000 dials/month per researcher, qualifying prospects
  • Appointment setting: Booking qualified meetings on producers' calendars
  • Pipeline reporting: Weekly reports on meetings, pipeline, conversion metrics
  • Lead magnet (InsureCalc): Insurance calculators that capture agency leads

We do not sell insurance, place policies, or act as a licensed agent/broker. We are a marketing/sales enablement service.

3. Pilot Program

New clients may start with a 2-week pilot program:

  • Duration: 14 calendar days from kickoff
  • Volume: 1,000 dials minimum
  • Deliverable: ≥8 qualified appointments booked on producers' calendars
  • Cost: $0 if pilot criteria not met; converts to paid tier if met
  • No obligation: Either party may terminate pilot at any time

Pilot conversion to paid tier requires written agreement (email confirmation sufficient).

4. Billing & Payment

  • Monthly billing: Invoiced 1st of each month, net-15 terms
  • Payment methods: ACH, wire, credit card (3% fee)
  • Late payment: 1.5%/month after 30 days; services suspended at 45 days
  • Tier changes: Upgrades immediate; downgrades at next billing cycle
  • Taxes: Client responsible for applicable taxes (GST/HST, sales tax)

5. Cancellation & Termination

  • Month-to-month: Either party may cancel with 30 days written notice
  • Immediate termination: Material breach, non-payment >45 days, TCPA violation
  • Data return: Upon termination, we return all client data within 14 days
  • No refunds: For partial months (services delivered through cancellation date)

6. Client Responsibilities

  • ICP definition: Provide clear ideal customer profile (industry, revenue, geography, coverage)
  • Carrier appetite: Maintain current carrier appointments and communicate changes
  • Calendar access: Provide Calendly/Outlook/Google access for booking
  • Producer availability: Ensure producers have capacity for booked meetings
  • Compliance: Maintain valid licenses, carrier appointments, E&O insurance
  • Feedback: Timely feedback on meeting quality for continuous improvement

7. Intellectual Property

Keystone North retains all rights to our proprietary systems, processes, scripts, contact databases, and technology (InsureCalc, dialer, CRM integrations, reporting dashboards).

Client data (leads, meetings, pipeline data) belongs to the client. We grant a non-exclusive license to use our scripts/processes solely during the engagement.

8. Confidentiality

Both parties agree to keep confidential all non-public information disclosed during the engagement, including: client lists, producer data, carrier relationships, scripts, pricing, and pipeline metrics.

Confidentiality survives termination for 3 years. Exceptions: legal requirement, public knowledge, independent development.

9. Compliance & Regulatory

  • TCPA: We maintain express written consent logs, DNC scrubbing, call recordings, opt-out systems
  • State laws: We comply with state telemarketing laws (CA, FL, TX, NY, etc.)
  • Insurance licensing: We do not act as agents/brokers; clients must maintain valid licenses
  • Data privacy: We comply with PIPEDA (Canada), state privacy laws (CCPA, etc.)
  • Call recording: All calls recorded with disclosure; stored 2 years

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • • Keystone North is not liable for indirect, incidental, consequential, or punitive damages
  • • Maximum aggregate liability: fees paid by client in the 12 months preceding the claim
  • • No liability for: lost profits, lost data, carrier decisions, market conditions, producer performance
  • • We do not guarantee: specific revenue, close rates, carrier acceptance, policy issuance

11. Indemnification

Client agrees to indemnify Keystone North against claims arising from: client's insurance activities, carrier disputes, regulatory violations, client data inaccuracies, or breach of these Terms.

12. Dispute Resolution

  • Governing law: Province of Ontario, Canada
  • Venue: Courts of Toronto, Ontario
  • Process: Good-faith negotiation (30 days) → Mediation (Toronto) → Binding arbitration
  • Costs: Prevailing party recovers reasonable legal fees

13. General Provisions

  • Entire agreement: These Terms + Order Form = entire agreement
  • Amendments: Written agreement (email sufficient) required
  • Assignment: Neither party may assign without consent (except acquisition)
  • Force majeure: Neither party liable for events beyond reasonable control
  • Severability: Invalid provisions severed; remainder enforceable
  • No waiver: Failure to enforce ≠ waiver of rights
